If the rating of the debentures is downgraded from the current rating by any rating agency, the coupon rate will be increased by 0.25% for each notch of downgrade from the date of such downgrade. If the rating is upgraded, the coupon rate will be decreased by 0.25% for each notch of upgrade in the rating, but it may not fall below the coupon rate on the deemed date of allotment. If the rating is downgraded to A+, the coupon rate will be increased by an additional 1%, and it will be decreased by 1% if the rating is subsequently upgraded back to AA-.
